1. General

These Terms govern your use of our services. 

• “Customer” refers to any individual or business using our services  

• You must be legally eligible to enter into a contract

• Use of our services indicates acceptance of these Terms and our Privacy Policy

2. Scope of Services

Nimmio® Studio provides video-centric services including: 

• Live Shoot Video Production (corporate, ads, events, etc.)  

• Stock Footage-Based Videos  

• AI-Generated Videos  

• Video Editing & Post-Production (cuts, transitions, color grading, motion graphics)  

• Voice Over & Audio (recording, sound design, mixing)  

All services are delivered based on agreed project scope. 

3. Project Workflow & Contract Formation

A project is executed as follows: 

1. Customer shares brief, script, or raw footage  

2. Company evaluates and shares quotation + timeline  

3. Customer confirms and makes payment  

4. Project begins upon confirmation  

The Company reserves the right to revise cost/timeline if: 

• Scope changes  

• Additional editing, animation, or production work is required  

4. Deliverables & Formats

Deliverables may include: 

• Video files (MP4, MOV, AVI, etc.)  

• Audio files (MP3, WAV, etc.)  

• Project files (if agreed separately)  

Final output specifications (resolution, format, duration) are agreed before delivery. 

5. Revisions Policy

• Up to 3 revisions are included per project  

• Revisions cover minor edits (text, cuts, timing, color adjustments)  

• Major changes (new concept, script change, re-editing entire video) are treated as new work  

Additional revisions will be charged separately. 

6. Approval & Completion

• Customer must review deliverables within 3 days  

• Feedback must be shared clearly in writing  

• If no response is received, project will be deemed approved  

Once approved: 

• Project is considered completed  

• Further changes will be billed additionally  

7. Client Responsibilities

The Customer must: 

• Provide scripts, footage, brand assets, and references  

• Ensure all content is legally owned or licensed  

• Give timely feedback and approvals  

Delays in providing inputs may impact delivery timelines. 

8. Production-Specific Terms (Important)

For Live Shoot Projects: 

• Shoot schedules must be pre-approved  

• Delays due to location, permissions, weather, or client availability are not Company liability  

• Re-shoots due to client-side issues may incur additional cost  

For AI/Stock-Based Videos: 

• Output quality depends on available assets and AI limitations  

• Exact replication of concepts may not be guaranteed  

9. Additional Work & Scope Changes

Any request beyond agreed scope: 

• Will be treated as additional work  

• Will require approval and additional payment before execution

10. Intellectual Property Rights

• Ownership of final deliverables is transferred after full payment  

• Company retains the right to showcase work in portfolio  

• Third-party assets remain subject to licensing terms

11. Confidentiality

• All client data, scripts, and media are treated as confidential  

• Data is used only for project execution  

• Confidentiality valid for 1 years  

12. Service Availability

• Working hours: Monday–Friday, 10 AM – 7 PM (IST)  

• Services may be unavailable on Indian public holidays  

13. Limitation of Liability

Services are provided “as is”. 

The Company is not liable for: 

• Loss of business or revenue  

• Delays caused by third parties or external factors  

• Any indirect or consequential damages  

Maximum liability = total project fee paid. 

14. Indemnity

The Customer agrees to indemnify the Company against: 

• Legal claims arising from client-provided content  

• Copyright or trademark violations  

15. Termination

The Company may suspend or terminate services: 

• In case of policy violation  

• At its discretion  

16. Prohibited Use

The Customer must not: 

• Provide illegal, harmful, or copyrighted content without rights  

• Misuse the services  

Violation may result in immediate termination. 

17. Amendments

These Terms may be updated at any time. Continued use indicates acceptance. 

18. Dispute Resolution

• Disputes must be raised within 15 days  

• Parties will attempt mutual resolution  

• If unresolved → arbitration
