Our website “Nimmio.com” (A unit of PitchWorx Marketing Management LLC) delivers each of its products and services under the licensing terms and other conditions set forth in this agreement. These licensing terms for the use of our products and services constitutes your agreement to abide when you “Accept” online our terms and conditions at the time of registration.  When you register, purchase or use our products it is implied that you have read and accepted the terms and conditions listed here.

We retain the right to periodically change, modify, or update these terms and conditions without notice. The most current / updated terms of services shall apply at any time.  We pursue you to visit and refer to this section of our website frequently for updated set of licensing terms, policies and other conditions. It may be noted and agreed that these terms and conditions may not be a complete representation of all of our policies.

Use and Restrictions:

You agree that you will not use the products  to violate any applicable law and regulation, including, but not limited to, any copyright, trademark, patent, anti-piracy, or other intellectual property law or regulation, or encourage or enable others to violate any such law or regulation.

It is agreed by you Nimmio.com, shall retain all intellectual property rights related to the products and services unless otherwise mentioned explicitly by us at relevant places. You may not claim intellectual or exclusive ownership to any of our products, modified or unmodified. It is agreed that you may not place any of our products, modified or unmodified, on a diskette, CD, website or any other medium and offer them for redistribution, commercial usage or resale of any kind.

It is understood and agreed that you may not sub-license, assign, or transfer this license to anyone else without prior written consent from Nimmio.com.

It may be noted and agreed that your account details may get automatically suspended and blocked/ locked if your account is compromised or shared with any other individual/ entity.

Communication:

By providing us with your e-mail address, you agree that we may send you mailers, notices, notifications, offers, and other promotional material via e-mail. You are free to unsubscribe from our mailing list either completely or in part at any given point of time using the manage profile link post login with your username (email) and password.

You agree to maintain the confidentiality of your account, and to not share your account password, security question answers, or any other confidential information about your account with others, either within or outside your organization.

You agree that that Nimmio.com has the right to temporarily or indefinitely suspend or completely terminate your license in the event that you share your account details, with any other individual or entity either within or outside your organization.  

Any change requests related to your account details shall require prior written authorizations from an authorized officer / member /partner /owner of the business entity and from the individual whose account requires change.

Fees and Billing:

By providing us with your e-mail address, you agree that we may send you mailers, notices, notifications, offers, and other promotional material via e-mail. You are free to unsubscribe from our mailing list either completely or in part at any given point of time using the manage profile link post login with your username (email) and password.

In case of multiple special promotional offers being extended, no two or more offers can be clubbed together.

Nimmio.com reserves the right to make any amendment to its pricing, and other commercial terms at any time without any notice.

This agreement shall be binding to you even if you decide to make the purchases in an offline mode (i.e, registering and purchasing our products through our direct sales team, our affiliates or channel partners), unless a if a separate agreement has been signed in ink between you and Nimmio.com.

Nimmio.com may charge you interest on unpaid balances at the rate of 1.5% per month or the maximum rate allowed by law (whichever is higher) for purchases made via offline mode.

Nimmio.com accepts payment via Paypal and credit card. Customer purchase can be suspended for investigations. Antifraud check occurs because of growing number of fraud transactions from persons who are not actual cardholders of the credit cards used during purchase.

Refund Policy:

Due to the nature of subscription-based access to digital presentation slides, all payments are non-refundable. By subscribing, you gain immediate access to our digital content library, and for this reason, we do not offer refunds, partial credits, or exchanges once a subscription payment has been processed. This applies regardless of whether you download or use the available content during your subscription period. Refunds will only be considered in cases of duplicate payments or billing errors directly caused by Nimmio, and any such requests must be submitted within (3) days of the charge.

Subscription Cancellation & Updates:

If you purchase a subscription plan, your account will be billed automatically according to your chosen billing cycle. You may cancel your subscription at any time through your Nimmio account settings. Cancellations become effective at the end of the current billing period, and no partial or prorated refunds will be issued. Active subscribers will receive access to any updates or improvements to the Products during the subscription period.

License Details:

Purchasing a Product grants you a non-exclusive, non-transferable, and non-sublicensable license to use the Product for personal or commercial purposes within your own organization. You may edit, customize, and adapt the Product to suit your needs or those of your clients. However, you may not resell, redistribute, share, or make the Product available (in original or modified form) to any third party, claim ownership or authorship of the Product, or upload the Product to any public repository, file-sharing platform, or online marketplace.

Termination:

You may terminate this agreement at any time upon thirty (30) days written notice to Nimmio.com, however Nimmio.com is not liable for any reason whatsoever to compensate or refund any money against the products and services offered by Nimmio.com

Nimmio.com reserves the right to refuse registration, opening a new account for any person or entity at its sole discretion

Nimmio.com may terminate this agreement immediately and without notice or obligation to you if (a) payment for its products and services is not received by the start date and/or the renewal date of your account or (b) we determine, in our sole discretion, that you have violated this agreement (c) we determine, in our sole discretion, a reason that may be detrimental to our interest as an organization or to any of our directors, partners and affiliates.

Limitations:

You acknowledge and agree that the limitations outlined in these Terms are fundamental to the agreement between you and Nimmio. Without such limitations, Nimmio would not be able to provide its digital presentation slides on the same terms or at the same pricing. You further agree that these limitations apply even if any remedy fails of its essential purpose. Under no circumstances shall Nimmio, its owners, partners, affiliates, employees, or contractors be liable for any loss of data, interruption of business, or any other commercial damages or losses arising from the use of, or inability to use, the Products, whether such claim is based on warranty, contract, tort, or any other legal theory.

In no event will Nimmio.com, its parents, subsidiaries, affiliates, shareholders, directors, officers, contractors or employees be liable to you under any circumstances for any third party, special, exemplary, punitive, indirect, multiple, incidental, or consequential damages (including, but not limited to, any loss of data, loss of use, or loss / interruption of business) arising out of, or in connection with, the products and services delivered under this agreement whether based in contract, warranty, negligence or other tort, breach of any statutory duty, the failure of any limited or exclusive remedy to achieve its essential purpose, strict liability, or any other legal or equitable grounds, even if Nimmio.com has been advised of the possibility of such damages.

All subscription-based Products and services provided by Nimmio are offered on an “as is” and “as available” basis, without any representations, warranties, or conditions of any kind, whether express, implied, or statutory. Without limiting the foregoing, Nimmio expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

You acknowledge and agree that access to our digital content library may occasionally be interrupted for maintenance, updates, or technical issues, and Nimmio does not guarantee uninterrupted or error-free access. Your use of the Products is at your sole risk, and Nimmio shall not be responsible or liable for any loss, damage, or expense, including but not limited to direct, indirect, incidental, special, or consequential damages, arising out of or in connection with the use, inability to use, or access to the subscription service or any digital content.

In no event shall our total liability exceed the total subscription fees paid by you in the three (3) months immediately preceding the event giving rise to the claim. Nimmio shall not be liable for delays, interruptions, or failures in performance caused by factors beyond its reasonable control, including but not limited to internet outages, hosting provider failures, technical malfunctions, natural disasters, or other force majeure events.

Changes to Terms:

We reserve the right to update or modify these Terms at any time without prior notice. The most current version will always be available on our website, and your continued use of our Products will constitute your acceptance of any such modifications.
